1. Agreement and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between each authorized user ("User") and the organization that has deployed NeuroMesh ("Organization") governing the User's access to and use of the NeuroMesh Intelligent Integration and Automation Platform ("Platform").
By accessing the Platform, the User represents and warrants that: (a) they are an authorized employee, contractor, or agent of the Organization; (b) their access has been provisioned by an authorized Platform Administrator; and (c) they have the legal capacity and authority to be bound by these Terms.
These Terms are to be read in conjunction with the NeuroMesh Privacy Policy set out in Part I of this document, which is incorporated herein by reference.
2. License Grant and Permitted Use
Subject to compliance with these Terms, the Organization grants each authorized User a limited, non exclusive, non transferable, revocable license to access and use the Platform solely for internal business purposes within the scope of their assigned role and responsibilities.
2.1 Permitted Uses
Users are authorized to:
Access the NeuroMesh management console using their assigned credentials
Design, build, test, and deploy integration processes and automation workflows as authorized by their role
Configure and manage connectors to approved third party systems within their provisioned environments
Access platform documentation, training materials, and support resources
Generate and export reports and audit logs relevant to their authorized functions
2.2 Prohibited Uses
Users must not:
Attempt to access any Platform environment, account, or configuration beyond their authorized permissions
Probe, scan, or test the vulnerability of Platform systems or connected infrastructure without prior written authorization from the Security team
Transmit through the Platform any data that the User does not have the legal right to process or share
Introduce malware, malicious code, Trojan horses, worms, or any similar harmful software into the Platform or connected systems
Circumvent, disable, or interfere with any Platform security controls, authentication mechanisms, or access restrictions
Reverse engineer, decompile, or disassemble any component of the Platform
Use the Platform to process data for purposes other than authorized organizational business activities
Share credentials, API keys, or access tokens with unauthorized individuals
Export or extract Platform configuration, source code, or proprietary integration assets for use outside the organization without explicit written approval
3. User Accounts and Access Management
Access to NeuroMesh is controlled through organizational identity management systems and Platform Administrator provisioning. The following account management obligations apply:
3.1 User Obligations
Users are responsible for maintaining the confidentiality of their Platform credentials and must not share them with any other party
Users must immediately notify the Platform Administrator and IT Security team upon discovering or suspecting unauthorized access to their account
Users must log out of the management console at the end of each session and when leaving their workstation unattended
Users must comply with the organization's password and multi factor authentication policies for Platform access
3.2 Administrator Obligations
Platform Administrators are responsible for provisioning access strictly in accordance with the principle of least privilege
Access rights must be reviewed at minimum on a quarterly basis and revoked promptly upon change of role, departure, or disciplinary action
Administrators must maintain a current and accurate register of all Platform users and their assigned roles
Administrators are responsible for configuring Platform security controls, data retention policies, and integration audit settings in accordance with organizational requirements
The Platform automatically logs all login events, configuration changes, and pipeline deployments. These audit logs are immutable and may be used in security investigations, compliance reviews, or disciplinary proceedings.
4. Intellectual Property Rights
All intellectual property rights in and to the NeuroMesh Platform, including its software, architecture, design, documentation, trademarks, and proprietary integration frameworks, are and shall remain the exclusive property of the organization or its licensors.
Nothing in these Terms grants Users any ownership interest in the Platform or any of its components. Users are granted only the limited license set out in Section 2 above.
4.1 User Generated Content
Integration processes, workflow configurations, connector customizations, and other artifacts created by Users within the Platform ("User Configurations") are considered organizational work product and are the property of the Organization. Users agree to assign and do hereby assign to the Organization all rights, title, and interest in any User Configurations created in the course of their authorized use of the Platform.
4.2 Third Party Components
The Platform may incorporate third party open source software components. Such components are subject to their respective open source licenses, which do not affect the Organization's proprietary rights in the Platform as a whole. A current list of third party components and their applicable licenses is maintained in the NeuroMesh internal documentation repository.
5. Data Responsibilities
Users and Platform Administrators are responsible for ensuring that data processed through NeuroMesh complies with the following obligations:
All data integrated or automated through the Platform must be data that the Organization has the legal right to process
Users must not configure integration pipelines to transmit personal data to unauthorized systems or geographies
All integration processes involving personal data must be documented in the Organization's data processing register prior to deployment to production environments
Users are responsible for ensuring that connected systems have appropriate security controls before establishing NeuroMesh integrations
Sensitive data categories (health data, financial records, biometric data) must be flagged and subject to enhanced review and approval before integration
NeuroMesh provides data classification and sensitivity tagging capabilities. Platform Administrators are responsible for configuring and enforcing data handling policies consistent with organizational data governance requirements.
6. Service Availability and Support
NeuroMesh is operated as an internal platform and is subject to the service levels and support arrangements established by the Organization's IT and platform operations teams.
6.1 Planned Maintenance
Scheduled maintenance windows will be communicated to all Platform users no less than 48 hours in advance, except in the case of emergency security patches, which may be applied with shorter notice. Maintenance schedules will be published in the NeuroMesh internal service calendar.
6.2 Incident Management
Platform incidents will be managed in accordance with the Organization's IT incident management process. Users should report platform issues through the designated support channel at support@neuromesh.online.
6.3 Limitations
NeuroMesh is provided on an "as is" and "as available" basis for internal operational use. While the Platform operations team makes reasonable efforts to ensure availability and reliability, no warranty of uninterrupted, error free service is given unless a specific SLA has been executed between the Platform team and the relevant business unit.
7. Security Responsibilities
All Users of NeuroMesh share responsibility for maintaining platform security. The following obligations apply to all Users:
Report any suspected security vulnerabilities, misconfigurations, or unauthorized access immediately to support@neuromesh.online.
Do not attempt to exploit, test, or probe security vulnerabilities without written authorization from the Security team
Comply with all organizational security policies applicable to systems and data accessed through NeuroMesh
Ensure that workstations used to access the Platform management console are secured with organizational endpoint protection standards
The NeuroMesh platform team is responsible for maintaining a comprehensive security baseline across all Platform components and will conduct regular security assessments. Findings will be remediated in accordance with the Organization's vulnerability management policy.
8. Confidentiality
Users acknowledge that in the course of using NeuroMesh, they may access information that is confidential to the Organization or to third parties whose data is processed through the Platform. Users agree to:
Maintain the confidentiality of all non public information accessed through or in connection with the Platform
Not disclose confidential information to any unauthorized party, including colleagues who do not have a legitimate need to access such information
Not use confidential information for any purpose other than the authorized performance of their duties
Comply with the Organization's information classification and handling policies at all times
Confidentiality obligations survive termination of the User's access to the Platform and remain in force for such period as the Organization's confidentiality policy or applicable law requires.
9. Audit and Monitoring
By using NeuroMesh, Users consent to the Organization's monitoring, logging, and auditing of all Platform activity for the following purposes:
Ensuring compliance with these Terms and applicable organizational policies
Detecting and investigating security incidents and unauthorized access
Meeting regulatory and audit obligations
Maintaining the integrity and performance of the Platform
Audit logs are maintained for the periods defined in Section 6 of the Privacy Policy. Users should have no expectation of privacy in their Platform activity, which is organizational business activity conducted on organizational systems.
10. Prohibited Activities and Enforcement
Violation of these Terms, including but not limited to the prohibited uses listed in Section 2.2, may result in one or more of the following actions at the Organization's discretion:
Immediate suspension or revocation of Platform access
Disciplinary action in accordance with the Organization's HR policies, up to and including termination of employment or contract
Referral to law enforcement authorities where Platform misuse constitutes a criminal offense
Civil legal action to recover damages, including injunctive relief, where appropriate
NeuroMesh administrators will cooperate fully with any investigation into suspected misuse of the Platform, including providing audit logs, access records, and technical forensic data to authorized investigators.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
The Organization's aggregate liability to any User arising from or in connection with these Terms or the use of the Platform shall not exceed the total value of the User's direct employment costs attributable to Platform use in the 12 months preceding the claim
Neither the Organization nor the Platform operations team shall be liable for any indirect, incidental, consequential, special, or punitive damages arising from Platform use, including loss of data, business interruption, or loss of profits
The Organization shall not be liable for any damages arising from a User's failure to comply with these Terms or applicable security policies
Nothing in this limitation of liability shall limit the Organization's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
Users agree to indemnify, defend, and hold harmless the Organization, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
The User's breach of these Terms
The User's unauthorized or unlawful use of the Platform
Any violation of applicable law by the User in connection with Platform use
Any third party claim arising from data the User transmitted through or processed on the Platform without authorization
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the Organization is headquartered, without regard to conflict of law principles.
Any dispute arising from or in connection with these Terms that cannot be resolved informally between the parties shall be subject to the exclusive jurisdiction of the courts of the Organization's principal place of business, or, if mutually agreed, to binding arbitration conducted in accordance with the applicable arbitration rules of the jurisdiction.
Users agree to attempt to resolve any dispute informally by notifying the Platform Legal Team at support@neuromesh.online in the first instance and allowing 30 calendar days for informal resolution before initiating formal proceedings.
14. Amendments to Terms
The Organization reserves the right to amend these Terms at any time to reflect changes in Platform capabilities, organizational policy, or applicable law.
Continued use of the Platform following notification of amendments constitutes acceptance of the revised Terms. Users who do not accept amended Terms must immediately discontinue use of the Platform and notify their Platform Administrator.
15. General Provisions
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
Entire Agreement: This document, together with the NeuroMesh Service Level Agreement and any applicable data processing addenda, constitutes the entire agreement between Users and the Organization with respect to the Platform and supersedes all prior communications, representations, or agreements.
No Waiver: Failure by the Organization to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision in the future.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, cyberattacks by external threat actors, government actions, or infrastructure failures outside the Organization's control.
Assignment: Users may not assign or transfer their rights or obligations under these Terms without prior written consent of the Platform Administrator. The Organization may assign these Terms in connection with a merger, acquisition, or organizational restructuring.
